Siderelo terms of service
Last modified: 29 October 2026
Please read sections 15 and 19 before agreeing. They exclude warranties and certain losses, and cap our liability, where the law permits. The cap is the greater of three months' subscription fees for the affected workspace or US$100. Your rights that cannot lawfully be excluded or limited still apply.
1. About these terms
Siderelo lets individuals and teams track time, manage clients and projects, report on work, export records and create draft invoices through supported accounting services. These terms cover our website, web application, Android application and related services, together called the service.
Siderelo is operated by Chamberlain Industries (Pty) Ltd, a South African company. Our correspondence address is Regus, The Colosseum, Foyer 3, 1st Floor, Century Way, Century City, Cape Town, 7441, South Africa. Our website is siderelo.com, and our contact email is support@siderelo.com.
- Company registration number: 2023 / 784884 / 07
- Place of registration: South Africa
We, us and Siderelo mean Chamberlain Industries (Pty) Ltd. You means the person using the service. The customer is the individual or organization responsible for a workspace and its subscription. A workspace is the organization's shared account area, and a user is someone with access to it.
By creating an account or continuing to use the service after being given notice of these terms, you agree to them. If you accept for an organization, you must have authority to bind it. Each user must follow these terms when accessing a customer's workspace. If you do not agree, do not create an account, purchase a subscription or use the service.
A separate agreement signed by us and the customer takes priority where it expressly changes these terms. Your purchase through Paddle is also subject to the payment terms described below. Nothing here removes rights or protections that applicable law does not allow you to give up.
2. Before you start
- Owners control workspace membership and billing. Managers and owners can see team records, including time-entry notes, that ordinary members cannot.
- A workspace trial does not authorize a payment. Paid subscriptions renew until canceled; removing a user or uninstalling the app does not cancel billing.
- Review time entries, reports and draft invoices before relying on them. Keep your own copies of important records.
- Personal account deletion preserves workspace records. Organization deletion removes them for everyone. Export what you need first.
3. Who can use Siderelo
You must be at least 18 and legally able to enter into this agreement. If you act for an organization, you must also have its authority. Siderelo is intended for work and business use, including use by independent professionals. It is not designed for children.
Keep your account and billing information accurate. Do not impersonate anyone, create accounts to evade restrictions, or use the service in breach of applicable law or trade restrictions.
If you join someone else's workspace, you must be authorized by that customer. Your access may end when your employment, engagement or other permission to use the workspace ends.
4. Accounts and security
Use your own account and protect the email account, devices and sign-in sessions used to access Siderelo. Do not share verification codes or let other people use your personal sign-in to avoid buying seats or granting proper access.
You are responsible for activity you authorize through your account. Tell us promptly at support@siderelo.com if you suspect unauthorized access. We may ask for information to verify your identity before changing account access or responding to a sensitive request. Never send us a password, verification code or full payment-card details.
Customers must manage access when people join, change roles or leave. Keep an authorized owner available to manage the workspace. Contact support if ownership or account recovery cannot be resolved through the application; we may need evidence of authority and cannot guarantee a transfer where ownership is disputed.
5. Workspaces, roles and work records
Owners manage subscriptions and workspace access. Managers and owners can access team reports and work information that members cannot. Your role and project access determine what you can see and change.
Time-entry notes are visible to their author and to managers and owners in the same workspace. Reports and CSV exports include notes only when an authorized manager or owner chooses to include them. Owners can also choose to include notes in organization exports. Do not put information in a note that you are not authorized to share with those people. Exported files and records sent to an accounting provider are also subject to the recipient's handling and permissions.
The customer is responsible for lawful use of employee, contractor and client information, including workplace notices, permissions and any required consultation. An invitation to Siderelo is not a substitute for those obligations. Siderelo does not decide how your employer uses work records or resolve employment and payment disputes between workspace users.
Deactivating a user removes access but does not automatically remove that person's historical work records. Subject to applicable privacy rights and the customer's lawful instructions, those records can remain available to authorized workspace users.
6. Trials and access after expiry
The standard trial is 7 days; any different offer will state its duration and conditions. Creating a workspace starts a trial without authorizing payment. An owner must complete checkout to buy a subscription.
If a checkout offer includes a trial that converts to a paid subscription, its first charge date and renewal conditions must be shown before you confirm it. Cancel before that charge date if you do not want to pay.
When a trial expires or a subscription becomes inactive, Siderelo restricts changes such as starting timers or creating new work. Subject to your permissions and account status, you can still read existing records, access billing, stop an existing timer and use available export and deletion controls. This access is not a promise of permanent free storage. Suspension or closure can end access as described in sections 17 and 18.
7. Prices, subscriptions and payments
The standard advertised price is US$10 per seat per month, with sales tax added at checkout. Your offer and checkout show the applicable price, currency, billing interval, seat quantity and taxes. Review the final total before confirming.
Paid subscriptions renew automatically until canceled. Completing checkout authorizes the recurring payments shown there. Keep your payment details current and check your purchase confirmation for the renewal date.
Purchases processed through Paddle are also governed by Paddle's Buyer Terms. Paddle handles the transaction as reseller and merchant of record; the applicable Paddle entity is identified in its terms and purchase records. We remain responsible for providing Siderelo under our agreement with you.
We will give advance notice of an increase to your subscription price before it applies to a renewal, and obtain further consent where the law requires it. You can cancel before the new price takes effect. A price change does not change charges for an already paid billing period.
If payment fails, access to paid features may be restricted or the subscription may end. Contact the payment provider to resolve billing problems. You remain responsible for valid outstanding charges, subject to your rights to dispute an error. Tell us or Paddle promptly about a charge you believe is incorrect; this does not limit any statutory or payment-provider dispute rights.
8. Seats and team changes
A seat is capacity for one active workspace user, including an owner. The paid seat quantity must cover the workspace's active users. If active users exceed paid seats, changes such as starting timers or creating work may be blocked until the shortfall is resolved. At least one seat is required for a paid workspace. A user who has been deactivated is not an active user, although historical records may remain.
Owners manage paid seat quantities. Adding seats normally takes effect when the change is confirmed, with a charge for the remaining part of the billing period. The preview shows the amount and currency, including whether a small prorated charge will be deferred or waived.
A seat reduction is scheduled for the next renewal. It does not automatically refund the current period. Deactivate users first if needed so the requested quantity still covers active users. Deactivating a teammate alone does not reduce the purchased seat quantity; the owner must also make the seat change.
Review the billing preview before confirming. If a payment or seat change is still being confirmed, check the resulting subscription status before trying again. Contact support if the displayed result is unclear.
9. Cancellation and refunds
An owner can open the customer billing portal from Billing on the web to manage or cancel a Paddle subscription. You can also use the link in Paddle's purchase emails or contact Paddle buyer support. If you cannot access the relevant account, contact us for help identifying the right route.
Cancellation normally takes effect at the end of the current billing cycle, unless the law or applicable Paddle terms require otherwise. You keep paid access until the effective cancellation date, subject to these terms, and no further renewal payment is due after that date. Cancel before the next renewal and check the confirmation for the effective date. Signing out, uninstalling the Android app, stopping use of Siderelo or deactivating users does not cancel billing.
Payments are non-refundable except where the law or applicable Paddle terms require a refund. Otherwise, we do not refund partly used billing periods, unused seats or a change of mind. Canceling a subscription or reducing seats does not itself create a refund or credit.
Cancellation and a refund are separate requests. For a Paddle purchase, refund eligibility and any statutory withdrawal rights are explained in Paddle's Refund Policy. Submit a payment or refund request through Paddle buyer support, with the email address or receipt associated with the purchase. We can help with service-related information needed to assess it.
The no-refunds policy and end-of-cycle cancellation rule do not override rights that cannot lawfully be excluded, or a refund required by the applicable Paddle purchase terms. Where they apply, South Africa's Consumer Protection Act and Electronic Communications and Transactions Act may give you rights to earlier cancellation, a cooling-off period or a remedy for defective or undelivered services. Eligibility, exceptions and any required notice depend on the transaction and the law. Contact us or Paddle to exercise those rights; using the service does not by itself waive them.
10. Your data and our permission to use it
You and your licensors keep your rights in the information submitted to Siderelo, including time entries, notes, client details, projects and related records. Using Siderelo does not transfer ownership of those records to us.
You give us permission to host, copy, transmit, display and otherwise process that information only as needed to provide, secure and support the service, carry out your authorized instructions and meet legal obligations. This permission extends to service providers acting for us for those purposes. It is not permission to publish your private work records or use them in advertising.
You must have the rights and lawful authority needed to submit the information and enable its use in the service. Avoid entering unnecessary sensitive personal information, passwords, payment-card data or other secrets into project names, notes or support messages.
You are responsible for the information you enter and for checking edits and exports. Keep independent copies of records needed for billing, tax, payroll or employment obligations. Siderelo is not a backup or statutory record-retention service.
Report exports cover the selected report. Where organization exports are enabled, owners can request a ZIP archive of workspace records in JSON format and choose whether to include notes. The archive reflects records at the time it is generated; it is not a continuous backup or a copy of every record held by an external provider. Download it before the expiry shown in the app, currently 14 days after it becomes ready. Store downloaded files and temporary download links securely; anyone holding a valid download link may be able to retrieve the file.
11. Privacy and confidentiality
We process account, workspace and support information to operate the service, manage access, provide support and meet legal obligations. Payment and accounting providers also handle information under their own terms and privacy notices. Our Privacy Policy explains our handling of personal information. These terms do not replace it or any separate data processing agreement.
The customer decides what work information to enter and is responsible for its instructions and workplace practices. Each party must comply with the privacy laws that apply to its activities, including South Africa's Protection of Personal Information Act (POPIA) where applicable. Contact your workspace owner about access to its records, and support@siderelo.com about a privacy request concerning Siderelo. We may need to verify identity, authority and which organization is responsible before acting. A request to leave a workspace does not necessarily require deletion of records that the customer must lawfully retain.
Each party must use reasonable care to protect the other party's non-public information received through this relationship. It may be used only for the service and the purposes permitted by our agreement. Access may be given to authorized staff, advisers and service providers who need it and have appropriate confidentiality duties.
This duty does not cover information already lawfully known, independently developed, received lawfully without a duty of confidence or made public without a breach. Disclosure required by law is permitted; where lawful and practicable, the disclosing party will notify the other and limit the disclosure to what is required. No security measure can eliminate every risk of unauthorized access.
12. Xero and other third-party services
An authorized user can connect optional integrations such as Xero. Connecting an account authorizes Siderelo to use the permissions you grant and transfer records needed for your requested actions. You must have authority over that account and permission to share the records.
The Xero integration can match or create contacts and create draft invoices from eligible time entries. Running timers are excluded from invoice creation. Review and approve drafts in Xero before sending them to clients. Creating a draft does not collect payment or confirm that a client owes the amount shown.
The provider's terms, fees and limits apply to its service. An integration may change or stop working if the provider changes its system or your authorization ends. We do not warrant an external provider's service or control its handling of records. Any liability we have in connection with an integration is subject to section 19; connecting one does not make us responsible for the provider's independent acts or omissions.
Check clients, contacts, time entries, rates, tax settings, currencies and totals before creating or sending accounting records. If an invoice operation has an uncertain result, check the provider and reconcile the result before submitting it again; duplicate submissions may create duplicate records.
Disconnecting an integration prevents new use through that connection. It may not recall a request already sent, undo invoices, erase transferred records or close your account with the provider. Manage those records with the relevant provider. Use the available disconnect or revocation controls, or contact support if you need help.
13. Acceptable use
Use Siderelo lawfully and respect other people's rights. Do not:
- Access another person's account, workspace or records without permission, or try to bypass access controls.
- Upload unlawful material, malicious code, or content that infringes privacy, confidentiality or intellectual property rights.
- Use the service for fraud, harassment, deceptive billing, or unlawful monitoring of employees or other people.
- Disrupt the service, overload it with abusive requests, or exploit a security weakness beyond what is necessary to report it responsibly.
- Evade subscription, seat or account restrictions, including by repeatedly creating trials to avoid payment.
- Sell, rent or make the hosted service available to others as your own product without our permission.
- Copy or reverse engineer protected parts of the service except where applicable law or a separate software license permits it.
Report suspected misuse or a security issue to support@siderelo.com. Include enough information to investigate, but avoid sending other people's private records unless necessary and authorized. A good-faith report does not authorize disruptive testing or access to someone else's data.
14. Our software and intellectual property
Siderelo and its licensors retain their rights in the service's software, design, branding and documentation. While you comply with these terms, you may access and use the service and install the official app for your authorized work, subject to the subscription and permissions that apply.
This permission does not give you ownership of our trademarks or the hosted service. Components distributed under an open-source or other separate license remain subject to that license, including any rights it grants you.
You may choose to send suggestions. We may use voluntary feedback to improve the service without an obligation to pay for it. Feedback does not give us additional rights in your private workspace records or confidential information.
15. Warranties, availability and support
Except for commitments expressly made in these terms or a separate agreement signed by us, and rights the law does not allow us to exclude, the service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all other warranties, conditions and representations, whether express, implied or statutory. This includes warranties of merchantability or satisfactory quality, fitness for a particular purpose, title and non-infringement.
We do not warrant uninterrupted or error-free operation, complete accuracy of calculations or outputs, compatibility with every device or integration, or that the service will meet your particular requirements. We do not guarantee that every defect will be fixed or that data will never be lost, corrupted or accessed without authorization. Maintenance, network failures and provider outages can interrupt the service.
These exclusions do not remove our express confidentiality commitments or mandatory duties concerning service quality, security or personal information. Where the law requires reasonable care and skill or a remedy for defective services, those rights remain.
You are responsible for a suitable device, internet connection and supported software. Install updates needed to maintain security and compatibility. Features may differ between web and Android; subscription purchases and management may require a browser.
We may improve or change the service. We will give reasonable advance notice of a change that materially reduces core paid functionality or of a planned shutdown, unless urgent security or legal reasons prevent that. Any resulting cancellation, refund or other remedy will be handled under the applicable agreement and law.
Contact support@siderelo.com for support. We do not guarantee a response time, uptime percentage, recovery time or service credit unless we agree to it in writing. Support advice does not create an additional warranty or change these terms unless we expressly agree in writing.
16. Checking records and professional decisions
Siderelo records work information. It does not provide accounting, tax, payroll, employment or legal advice, certify hours worked, or verify a user's entries. Timers, calculations, reports and draft invoices depend on the records and settings used.
Review records before using them to pay staff, bill clients, file returns or make important decisions. You remain responsible for required approvals and record-keeping rules. Obtain qualified professional advice where needed. This does not limit any duty of care we owe under applicable law.
17. Suspension and ending the agreement
You can stop using the service at any time. An owner must cancel a paid subscription to stop renewals. Account and organization deletion controls are available in the app; section 18 explains their different effects. Contact support if you cannot access those controls.
We may restrict or suspend access where reasonably necessary to address a material breach of these terms, unpaid charges, fraud, a security threat, harm to other people, or a legal requirement. We will normally explain the reason and give a reasonable opportunity to fix a problem that can be fixed. We may act immediately where delay creates a risk or the law prevents notice.
We may end the agreement for a serious or repeated breach, an unresolved material breach, or where providing the service is no longer lawful. For a planned end of the service for other reasons, we will give reasonable advance notice and explain the arrangements for outstanding subscriptions and records.
Restrictions should be proportionate to the issue. Contact support if you believe a restriction is mistaken. We may need to preserve evidence or withhold details that would compromise security, another person's privacy or a legal obligation.
18. Exporting and deleting records
Export and check the records you need before deleting an account or organization or allowing access to end. If you cannot retrieve necessary records, contact support promptly. We can help only where identity, authority, technical availability and legal duties allow.
Personal account deletion removes your profile and login access. Your time entries, notes and other workspace records remain with the organization, attributed in the app to "Deleted user". This does not erase personal information that you entered in notes or other records. A sole owner must appoint another owner before deleting their personal account, or choose organization deletion instead.
Only an owner can permanently delete an organization. This removes its workspace records for all users and removes the requesting owner's login. Cancel any paid subscription and wait for cancellation to complete first. Finish and download any exports you need before confirming deletion; stored export files are also removed. The owner must have authority to delete the organization's records and satisfy any retention obligations before doing so. Siderelo acts on that confirmed instruction and does not decide which business records you are legally required to keep.
Deleting an organization does not delete invoices or other records already held by Xero, Paddle or another recipient. Manage those records with the provider. Removing login credentials and stored files may finish after workspace access ends. Backup copies and records that must be kept by law may remain for the applicable retention period. Contact us about a privacy request or the retention arrangements that apply to your records.
Canceling billing, deactivating a user and deleting a personal account do not delete the organization. We do not promise a fixed period of storage after access ends or recovery of deleted records. This does not remove mandatory access, retention or deletion rights.
Ending the agreement leaves valid charges and accrued rights in place. The provisions on ownership, confidentiality, payments, warranties, liability and disputes continue where needed to give them effect.
19. Liability exclusions and cap
This section limits what you can recover from us. Read it with the warranty exclusions in section 15. The exceptions below apply to every exclusion and cap in these terms.
Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, intentional misconduct, gross negligence, death or personal injury caused by negligence, or anything else the law does not allow us to exclude or limit. This includes the acts of people for whom we are legally responsible. Mandatory consumer remedies, privacy rights and statutory duties remain in force. Business use alone does not mean you lose consumer protection.
Subject to those exceptions, and to the fullest extent permitted by law:
- We are not liable for indirect, consequential, special, incidental, exemplary or punitive damages arising from or connected with the service.
- For business use, we are not liable for lost profits, revenue, business, contracts, opportunities, anticipated savings or goodwill; business interruption; loss or corruption of data; or the cost of replacing services or reconstructing records. These exclusions apply whether the loss is direct or indirect.
- Our total liability for all claims relating to an affected workspace is capped at the greater of (a) the subscription fees paid for that workspace in the three months before the first event giving rise to a claim, or (b) US$100. Fees include amounts paid through Paddle for Siderelo, excluding taxes and refunded amounts. This is one combined cap for the customer and its workspace users, not a separate cap per user, incident or claim. For free use, trials or claims unrelated to a paid workspace, the cap is US$100.
These limits apply to claims in contract, delict or tort (including ordinary negligence), misrepresentation, breach of statutory duty or any other legal basis, even if we were told the loss was possible. They cover use of or inability to use the service, errors in outputs, integration failures, data loss and interruption or termination of access. They also protect our directors, employees and contractors when acting for us, who may rely on this section. Claims against them and us share the same cap.
A limit applies only where lawful and enforceable in your circumstances. It does not displace a mandatory refund, service remedy or compensation right, or excuse us from complying with privacy law. If consumer law makes a term unfair or prohibits a particular exclusion or cap, that term does not apply to you to that extent; the other lawful terms remain.
You remain responsible for valid subscription charges. Each party must take reasonable steps to reduce losses it can avoid. A different liability limit or service guarantee must be agreed with us in writing.
20. Questions, complaints and disputes
Contact support@siderelo.com with a description of the issue, the affected workspace and the outcome you are seeking. We will try to resolve it in good faith. Payment, cancellation and refund questions for Paddle purchases can also be raised with Paddle buyer support.
Contacting support is not a requirement that prevents you from approaching a court, regulator or other body where you have a right to do so, and it does not suspend legal deadlines. These terms do not require private arbitration or waive rights to bring or participate in proceedings.
South African law governs these terms and disputes about Siderelo. The courts of South Africa have jurisdiction, without excluding any other court or dispute-resolution body you have a mandatory right to use. Any mandatory protections available where you live continue to apply. Paddle's terms separately address disputes about its payment services.
21. Changes to these terms and notices
We identify each version of these terms by date. Every version stays available at its own address, https://siderelo.com/terms/<version>/, for example https://siderelo.com/terms/2026-10-29/, and the current version is always at https://siderelo.com/terms/.
For material changes, we will give reasonable advance notice through the service or the account email address and state when the changes take effect. We will also ask you to accept the new version in the service before or when it takes effect. Urgent changes required for security or legal compliance may take effect sooner, with notice as soon as practicable.
Changes do not apply retroactively to an existing dispute. Where acceptance is required by law or our agreement, we will request it. If you do not agree to a change, contact us and cancel future renewals before it takes effect; any rights for an already paid period remain subject to the applicable agreement and law.
Keep your email address current so you receive account and legal notices. Send notices and questions to support@siderelo.com, or write to Chamberlain Industries (Pty) Ltd at the address in section 1, unless a signed agreement provides another address. Save a copy of the version you accept for your records from its permanent address, https://siderelo.com/terms/<version>/.
22. General terms
These terms, the purchase details and any applicable written agreement form the agreement about Siderelo. A separate data processing agreement takes priority for the processing matters it specifically covers. Paddle's terms govern its payment services; these terms govern our provision of Siderelo.
If a provision cannot be enforced, the remaining provisions continue where they can operate lawfully. A delay in enforcing a right does not mean that right has been waived.
You may not transfer your subscription or contractual rights to another customer without our written agreement, except where the law permits. We may transfer this agreement as part of a reorganization or sale of the service, provided the successor takes on our obligations and your mandatory rights are protected; we will notify you of a material change to the operator.
Where the law permits, neither party is liable for a failure or delay caused by events beyond its reasonable control, provided it takes reasonable steps to limit the effects. This does not excuse valid payment obligations or override statutory remedies.
Using the service does not create a partnership, agency or employment relationship between you and Siderelo. Except for the protections expressly given in section 19 or rights required by law, this agreement gives rights only to its parties.
